Last checked 13 October 2026 · Checked by the Property Centre content team

A deed of assignment is the signed legal document by which a seller transfers their interest in land or a building to a buyer. It is the main document a buyer receives in a Nigerian property sale, and it becomes fully effective once it has Governor's Consent, is stamped and is registered.

What a deed of assignment contains

When land or a house with a C of O or other title is sold, the seller does not hand over the C of O as if it were a car log book. The seller assigns their right of occupancy to the buyer by deed.

A deed of assignment normally contains:

  • the parties and their addresses;
  • the recitals: the seller's root of title, such as the C of O, an earlier consented deed or a family grant;
  • the price and an acknowledgement that it has been paid;
  • the operative clause transferring the seller's interest for the rest of the term;
  • the description of the land by survey plan number and coordinates;
  • the seller's promises about title and freedom from claims;
  • signatures, witnesses and the space for consent and registration.

What makes it effective. On its own, a signed deed gives the buyer an equitable interest between the parties. To be good against the world it needs three further steps, together called title perfection:

  • Governor's Consent to the assignment;
  • stamping, now under the Nigeria Tax Act 2025 regime;
  • registration at the state land registry.

A deed that is never perfected is hard to rely on in court and is poor security for a mortgage.

Contract of sale first. In larger deals the parties sign a contract of sale that sets the terms and payment stages, and the deed of assignment follows on completion.

Differences by state

  • Lagos: registered under the Lagos State Lands Registration Law 2015 after consent from the Lands Bureau.
  • Abuja (FCT): consent and registration through AGIS.
  • Other states: many publish their own procedure; Ekiti, for example, publishes a step-by-step guide for registering a deed of assignment.

What to check

  • The recitals match the seller's actual title documents.
  • The survey plan in the deed matches the plot and has been charted.
  • The deed is prepared by your own lawyer, not only the seller's or developer's.
  • Who pays for consent, stamping and registration is written down.
  • The deed is signed by everyone with an interest, such as all principal family members for family land.

Red flags

  • A "deed of assignment" with no title behind it, for example over land that only has a receipt or is under acquisition.
  • A template deed with blanks filled in by hand and no lawyer's details.
  • A seller unwilling to sign the consent application.
  • Several deeds for the same plot to different buyers.

Questions

What is a deed of assignment in Nigeria?

It is the deed by which a seller transfers their interest in land or a building to a buyer. It is the buyer's main title document once consented and registered.

Is a deed of assignment a title document?

Yes, once it has Governor's Consent and is registered. Before that it gives the buyer an interest against the seller but is weak against others.

What is the difference between deed of assignment and C of O?

A C of O grants the original right of occupancy; a deed of assignment transfers an existing right from seller to buyer.

Who prepares a deed of assignment?

A lawyer, usually the buyer's. The buyer should have their own lawyer review it even when the developer supplies a standard form.

Is a deed of assignment enough to own land?

Only when it is perfected with consent, stamping and registration, and only if the seller had good title to begin with.
