License is due for Renewal in the year "2036"

Vendor: we undertake to outrightly sell our total 100% equity to a ready and able Buyer.

TAKE NOTE: that Signature Bonus have fully been paid.

Vendor Price: $450m.
(Four Hundred and Fity Million US dollars only).

The procedures to follow for a successful closure is NOT Negotiable.

Procedures;

1. An Loi to come with following;

A. Verifiable Bank Comfort Letter.

B. Buyer's Company Profile or CIS of Chaiman, or M/D.

C. Acceptance offer of $450m by Buyer or Buyer's Lawyer.

D. Agency Letter of 10% directly from the Buyer; I.e, Buyer to pay 10% commission to both side parties..

If Buyer is ready to comply with this demands;
I. Buyer meet owner's Attorney with copy of POF.
II. Buyer meet seller within 24hrs after verification of POF.

NB: Buyer Responsible for logistics.

TAKE NOTE: Any LOI written by an Agent other than the Buyer or HIS Attorney in regards to the above requirements will not be treated.

1. It is offshore.

2. Price is: $450Million USD Net.

3. Geological Report is ready.

4. State of Location: Between Bayelsa and Akwa Ibom. (PSC Shallow waters).

5. Reserve volume: Gross 2P Oil Reserves 47:1 MMbl.
Gross 2P Gas Reserves 209Bcf.
Gross Prospective Reserves P50 2,791.7 MMboe.

6. Licence: Valid till 2036 before renewal.

7. Infrastructure including FPSOs, production platform, process facilities and pipelines.

8. The participation level of the government: PSC currently held by Operator.

9. All the levies are up to date. If there is anything outstanding, seller will offset upon conclusion of negotiation.

10. Data: other information would be made available by owner upon Buyer providing POF and during face to face negotiation.
