BUYERS BACKGROUND CHECK NEEDED TO FURTHER..
1. Write an LOI to the Broker about your intent to purchase the said oil servicing firm.
2. Sign an indemnity agreement with the Brokers that at the end of the transaction, they would be paid their 5% Broker commission fee.
3. Prepare your proof of funds or comfort letter showing your ability to purchase the said company but do not fly it electronically, it should be with you pending the date for the inspection.
3. The broker will arrange an inspection date and send to you after your acknowledgment of the said ability to purchase has been done from your end. It will be revealed in the company grounds with the company directors where the said inspection will be.
4. Inspection fees of 500k will be paid to enable broker officials fly down and arrange for the inspection.
5. Inspection Proper
6. After the Inspection, the Buying company will meet with the selling company and communicate price as well as arrange a subsequent review date where they will return with their Lawyers and team of Auditors to meet with the selling company team and go through every report and items of the company including finiancails.
7. Payment Schedule will be arranged in respective percentages e.g 80/20, 70/30 or 60/40 dollar/naira respectively for the total payment of the company.
8. Note the selling price is 39 million dollars negotiable.
9. After payment for the sale is made and every necessary document transferred, buying company will pay the Brokers of the sale a 5% Broker fees.
10. End of Transaction.
